Senior Legal for Investment Funds (M/F)

Education
A Master degree in Law

• Previous experience min 3 years’ experience - in legal in the financial sector

The role
• Supervise the entire activity of Legal department
• Preparation/review of legal documents (Agreements, Resolutions, Communications and Letters)
• Identification and interpretation of all legislative and regulatory requirements that apply to the Portfolio Manager and ManCo of the group and provision of appropriate advice to Management. To ensure all upstream regulatory risk is identified in a timely manner.
• Drafting of Prospect/Offering memorandum (negotiation/communication with the CSSF)
• CSSF filing and contacts
• Legal on boarding (Notary, visaed/signed documents)
• To ensure compliance with laws, regulations, rules and professional standards
• AML checks
• Due Diligence on 3rd parties
• Keep abreast of industry regulatory updates and impact assessment on ManCo and Portfolio Management
• Ensure that local Compliance policies, procedures and standards are appropriate and are communicated in a clear and effective manner to all staff
Fund Structuring Officer (Junior & Experienced: 1/3 years)

To strengthen The Fund Structuring activities of SELECTRA Management Company , Farad Group is looking to hire a Fund Structuring Officer.

The Junior Fund Structuring will be positioned at Luxembourg headquarter and he will be in charge of all operational aspects of investment funds from set ups to liquidation. The candidate should be able to work both independently and as part of a team to assure the entire process is completed correctly and within the deadlines. In addition, the successful candidate will contribute to the on-going development of cross departmental projects on investment funds. The main mission of the Junior/Experienced Fund Structuring Officer is to participate in the operational stages of investment funds from structuring, through creation, to liquidation.

Your role
• Assist operational aspects of investment funds from set ups to liquidation.
• Participate in cross departmental projects such as investment fund launches, implementation of new law and tax regulations, structural changes: being involved in every steps of deals from the structuring to the closing
• Be in charge to the writing down or to the review of Operating Memoranda, Agreements and resolutions, specific policies, procedures.
• Liaising with fund managers, advisors and clients, ensuring a high level of service is provided at all times
• Coordinating with different service providers on miscellaneous fund queries and reconciliations
• Participate in implementation of new law and tax regulations and structural changes
• Complete permanent oversight of fund structuring process (liaise with legal and compliance officers, front/middle offices, project and senior management)
• Be in charge of the analysis and review of operating memorandums, agreements, resolutions, contracts validity, and procedures.
• Analytical review of clients’ requests and projects
• Dealing with new clients, new funds and fund restructures
• Execute detailed monthly reviews of funds (NAV validation)
• Investigating and resolving any client queries, fund discrepancies or regulatory questions

Your Profile
• A University degree in Law, Engineering or Business Administration;
• A good understanding of and expertise on both UCITS and Alternative Investment funds
• A first experience in the field of Fund Accounting, Investor Services, Fund Structuring
• Ability to deal with multiple tasks and meet deadlines
• Ability to work in team but also individually with initiative and good organizational skills
• Fluency in English, French and Italian would be considered as an asset

Conducting Officer in charge of Portfolio Management

SELECTRA Management Company S.A., part of Farad Group (www.farad-group.com), is an independent professional ManCo that offers the creation, management and distribution of alternative investment funds (AIFs) and UCITS. With access to the entire range of Luxembourg funds, SELECTRA’s experts advise, support and take care of the establishment of dedicated AIFs and UCITS and/or the creation of new sub-funds within our four existing white labelled platforms. SELECTRA is supervised by the Commission de Surveillance du Secteur Financier (CSSF) and holds a representative office in Milan.

SELECTRA Management Company is looking to hire a: Conducting Officer in charge of Portfolio Management

The main mission is to supervise operational stages of Portfolio Management, both for UCITS or AIFs which use SELECTRA Management Company as a third-party management company.

Your role
• Be a key point of contact in Luxembourg for clients and business partners on portfolio management related activities
• Become a key member of the team as Conducting Officer
• Support relationship managers during client and prospect meetings where appropriate

For AIFs
• Assure the effective implementation of the Portfolio Management function in accordance with the AIFM Law;
• Structure, implement and assure a continuous oversight of the investment decision process when the Portfolio Management function is delegated to an external Investment Manager;
• Structure, implement and assure investment decisions are taken within the investment strategies rules of the funds on a client-by client basis, with the help of the Investment Advisors, and monitor the portfolio over time;
• Ensure, at company level, that the investment decisions are adequately implemented, and that the communication flow with the other AIFM departments, as well as with service providers, is effective;
• Report on a regular basis to the Senior Management over the portfolio management activity, establishing quarterly and annual reports, both at client and at company-wide levels;
• Be in charge of the analysis and review of legal documents pertaining to the funds under management, from a portfolio management perspective;
• Ensure that the set of procedure and policies pertaining to the Portfolio Management function are up-to-date and reviewed periodically.

For UCITS
• Structure, implement and assure a continuous oversight of the investment decision process when the Portfolio Management function is delegated to an external Investment Manager;

• A University degree in Economics or Business Administration;
• A good understanding of and expertise on both UCITS and AIF;
• Knowledge of CSSF and EU regulatory framework;
• At least 5 Years’ Experience;
• Ability to deal with multiple tasks and meet deadlines;
• Ability to work in team but also individually with initiative and good organizational skills;
• Fluency in English and Italian, French would be considered as an asset.
